Your user agreement with BidProConnect will consist of these Terms of Service (including the Privacy Policy); any applicable click-through agreement; and, if you are a subscriber, the pricing, subscription features, and other terms contained on the BidProConnect Subscription Signup pages of this Site applicable to the subscription you have chosen but are subject to change at any time.

By accessing and using this Site you are agreeing to comply with and be bound by these Terms of Service. If you do not agree to these Terms of Service, you may not access or use this Site.

These Terms of Service May Change

We reserve the right to update or modify these Terms of Service at any time, without prior notice, by posting the revised version of these Terms of Service behind the link marked "Terms of Service" at the bottom of each page of this Site. These changes will be effective as of the date we post the revised version on this Site, except that changes to subscription fees and features will become effective as to any existing subscriber upon completion of its then-current subscription term. Your only right with respect to any dissatisfaction with any revisions to the Terms of Service is to cancel your subscription to this Site and discontinue your use of this Site.

Your Consent to Other BidProConnect Agreements

We may also require you to follow additional rules, guidelines or other conditions to sign up to use various special features or password-protected areas of this Site, to participate in certain promotions or activities available through this Site, or for other reasons. In such cases, you may be asked to expressly consent to these additional terms, for example, by checking a box or clicking on a button marked "I agree." This type of agreement is known as a "click-through" agreement. All Content and intellectual property rights therein are the property of BidProConnect or the material is included with the permission of the rights owner and is protected pursuant to applicable copyright, trademark, and trade secret laws. All rights not expressly granted by this Agreement are reserved solely to BidProConnect, its vendors and/or licensors.

The presence of any Content on this Site does not constitute a waiver of any right in such Content. You do not acquire ownership rights to any such Content viewed through this Site. Except as otherwise provided herein, none of this Content may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without our express prior written permission. Any unauthorized use by you may subject you to penalties or damages. BidProConnect will enforce its intellectual property rights to the full extent of the law.

You may not use this Site for any purpose that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation. You may not use this Site or any of its Content to compete in any manner with BidProConnect, nor may you resell or redistribute this Site's content without prior express written consent of management of BidProConnect. You may not attempt to use any "deep-link," "scraper," "robot," "bot," "spider," "data mining," "computer code" or any other automated device, program, tool, algorithm, process or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of this Site or any data or Content found on or accessed through this Site without prior express written consent of management of BidProConnect. You may not use this Site to obtain or attempt to obtain through any means any materials or information on this Site that has not been intentionally made publicly available either by public display on this Site or through accessibility by a visible link on this Site. You may not use this Site in a manner that would violate the security of this Site or attempt to gain unauthorized access to this Site, data, materials, information, computer systems or networks connected to any server associated with this Site through hacking, password mining or any other means.

In consideration of your use of this Site, you agree to provide true, accurate, current and complete information about yourself and to update that information as necessary. You may not impersonate any person or entity, or falsely state or otherwise represent an affiliation with a person or entity.

You agree not to upload or transmit through this Site any computer viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer. You may not interfere with, attempt to interfere with or otherwise disrupt the proper working of this Site, any activities conducted on or through this Site or any servers or networks connected to this Site, including accessing any data, content or other information prior to the time that it is intended to be available to the public on this Site. BidProConnect reserves the right to limit the number of projects, contacts and companies that can be viewed during any given time period. BidProConnect reserves the right to validate business authenticity as needed or required to support proper use of the Website.

Permission is hereby granted to the extent necessary to lawfully access and use this Site and to display, download, or print portions of this Site on a temporary basis and for your personal and educational use only, provided that you (i) do not modify the Content; (ii) you retain any and all copyright and other proprietary notices contained in the Content; (iii) you do not copy or post the Content on any network computer or broadcast the Content in any media; and (iv) you do not use the Content to compete with BidProConnect.

Responsibility for User Generated Content Posted on or Through this Site

In these Terms of Service, "User Generated Content" refers to all of the text, photographs, images, illustrations, graphics, sounds, video, audio-video clips, and other content you post on or through this Site using the social networking tools we make available to Site members. Examples of User Generated Content include user-submitted project descriptions and information in subscribers' profiles.

You are responsible for User Generated Content you post on or through this Site. You are solely responsible for the User Generated Content that you post on or through this Site. Under no circumstances will we be liable in any way for any User Generated Content posted on or through this Site. Such User Generated Content may be posted on or accessed through this Site in our sole discretion.

This means that you, not BidProConnect, are entirely responsible for all User Generated Content that you upload, post, transmit or otherwise make available to others on or through this Site and that you can be held personally liable for comments that are defamatory, obscene, or libelous, or that violate these Terms of Service, an obligation of confidentiality, or the rights of others. If any part of the User Generated Content you submit is not your original work, it is your responsibility to obtain any necessary permissions before you post that User Generated Content on or through this Site.

Because we do not control the User Generated Content posted on or through this Site, we cannot and do not warrant or guarantee the truthfulness, integrity, suitability, or quality of that User Generated Content. You also agree and understand that by accessing this Site, you may encounter User Generated Content that you may consider to be objectionable. We have no responsibility for any User Generated Content, including without limitation any errors or omissions therein. We do not claim any copyrights in User Generated Content created and posted by individual visitors on or through this Site. However, by uploading, posting, transmitting or otherwise making any User Generated Content available on or through this Site, you are granting us and our subsidiaries, affiliates, successors and assigns, a nonexclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free, transferable license (with the right to sublicense through unlimited levels of sublicensees) to use, copy, modify, distribute, publicly display and perform, publish, transmit, remove, retain, repurpose, and commercialize that User Generated Content in any and all media or form of communication whether now existing or hereafter developed, without obtaining additional consent, without restriction, notification, or attribution, and without compensating you in any way, and to authorize others to do the same. We may disclose and/or remove User Generated Content. BidProConnect reserves certain rights. We reserve the right (but do not have the obligation) to monitor all User Generated Content. We reserve the right to require that you avoid certain subjects, if we believe that doing so will help ensure compliance with applicable laws. We reserve the right (but do not assume the obligation) to remove or block any User Generated Content at any time without notice at our sole and absolute discretion. We reserve the right to disclose any User Generated Content and the identity of the user who posted or transmitted that User Generated Content in response to a subpoena or whenever we believe that disclosure is appropriate to comply with the law or a court order, to prevent or investigate a possible crime or other violation of law, to protect the rights of BidProConnect or others, or to enforce these Terms of Service. You agree that our exercise of such discretion shall not render us the owners of the User Generated Content, and the user who made such User Generated Content available on or through this Site will retain ownership thereof as described above.

Restrictions on User Generated Content. It is a condition of these Terms of Service that you do not:

upload, post, transmit or otherwise make available

any User Generated Content that is unlawful, harmful, hateful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, pornographic, profane, racially disparaging, indecent, or invasive of another's privacy;

any request for or solicitation of any personal or private information from any individual;
any request for or solicitation of money, goods, or services for private gain;
any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or
any User Generated Content that contains advertising, promotions or marketing, or which otherwise has a commercial purpose inconsistent with the purposes of this Site;

impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or
violate any local, state, national or international law, rule or regulation.

By posting User Generated Content on or through this Site, you represent and warrant that (i) you own or otherwise control all of the rights to the User Generated Content you post and have the right to grant the license set forth in these Terms of Service; (ii) the User Generated Content you post is accurate, and (iii) you are at least eighteen years old and you have read and understood - and your User Generated Content fully complies with - these Terms of Service and applicable laws and will not cause injury to any person or entity.

Remember, you are legally responsible for your User Generated Content. You can be held personally liable if your User Generated Content is defamatory, obscene, or libelous, violates an obligation of confidentiality, or violates the rights of others. You are also legally responsible for any User Generated Content submitted by anyone logging onto this Site using your username and password, including those doing so without your authorization.

Your Feedback

Removal of Content

Please be aware, however, that if the content has already been distributed to other Web sites or published in other media, we will not be able to recapture and delete it. We are proud of this Site and we strive to ensure that it doesn't offend people of any age. If any provision of these Terms of Service is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms of Service will remain in full force and effect.

Governing Law, Jurisdiction and Venue

If the information and materials on this Site do not conform to the laws of the country where you access this Site, the information is not meant for you. BidProConnect makes no representation that the information and materials contained on this Site are appropriate outside the United States. You agree that in the event that any dispute arises under these Terms of Service or in connection with your use of this Site, the laws of the State of Arizona shall apply without regard to its choice of law provisions or rules. You also agree to submit to the personal jurisdiction of the state and federal courts located in Maricopa County, Arizona and further agree that the states and federal courts located in Maricopa County, Arizona shall be the exclusive venue for the resolution of any dispute between BidProConnect and you.

Indemnity

You agree to indemnify and hold BidProConnect, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of this Site in violation of these Terms of Service and/or arising from a breach of these Terms of Service and/or any breach of your representations and warranties set forth above and/or if any content that you post on or through this Site causes us to be liable to another. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.

Entire Agreement

These Terms of Service together with our Privacy Policy, any click-through agreements on this Site, and, if you are a subscriber, the terms contained on the BidProConnect Subscription Signup pages, contain the entire understanding and agreement between you and BidProConnect with respect to this Site and supersede all previous communications, negotiations and agreements, whether oral, written, or electronic, between you and BidProConnect with respect to this Site and your use of this Site.

Submitting Bids:

As a member of BidProConnect.com you agree to submit each and every bid through BidProConnect’s website in the required bid form. All bids and estimates must be submitted through BidProConnect’s website for any and all job leads obtained through BidProConnect. Any violations will result in a minimum penalty fee of $250 or up to $5,000. Violations may also result in a suspension of membership.

DISPUTES

Any dispute relating in any way to your visit to the BidProConnect Website or to products or services sold or distributed by the BidProConnect Website or through the BidProConnect Website shall be adjudicated in any state or federal court in Maricopa County, Arizona, and you consent to submit to the personal and exclusive jurisdiction and venue in such courts.

Service Professionals Skill Profiles. Service Professionals Skill Profiles. BidProConnect allows Service Providers to post Skill Profiles on the Website. BidProConnect does not review or verify the information or representations set forth in those Skill Profiles, as they are self-reported by the Service Providers. CONSUMERS SHOULD CONDUCT THEIR OWN INVESTIGATION OF SERVICE PROVIDERS, INCLUDING, BUT NOT LIMITED TO, WHETHER SERVICE PROVIDERS ARE APPROPRIATELY LICENSED, FREE OF SIGNIFICANT STATE-LEVEL CIVIL LEGAL JUDGMENTS, AND CARRY APPROPRIATE GENERAL LIABILITY INSURANCE OR BONDING. BIDPROCONNECT DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION RECEIVED BY CONSUMER FROM STATE, PROVINCIAL OR OTHER GOVERNMENT AGENCIES OR FROM THIRD PARTY SOURCES IS ACCURATE, ERROR FREE, OR THAT IT IS UP TO DATE OR UPDATED AT THE TIME THAT CONSUMER CHECKS SUCH INFORMATION. MOST AGENCIES HAVE PERIODIC UPDATE CYCLES OR SCHEDULES AND THIS INFORMATION IS NOT UPDATED ON A REAL-TIME BASIS BY SUCH AGENCIES AND THIRD PARTY SOURCES. Notwithstanding the foregoing, BidProConnect reserves the right to review such Skill Profiles and to delete any Content posted on the Profiles in accordance with the section titled Content Posted by You on the Website. BidProConnect may also make changes to such Content, including but not limited to changes to conform with BidProConnect editorial policies and/or to provide the Consumer with additional information from the Service Provider's website, other Service Provider materials provided to BidProConnect, or publicly available sources, and Service Provider shall be deemed to have accepted such changes and/or additional information if it does not request that BidProConnect take down such changes and/or additional information within 96 hours after it receives notice from BidProConnect that such changes and/or additional information have been posted to the Service Provider's Skill Profile. Any such changes and/or additional information shall be deemed to be Service Provider Content subject to the section titled Content Posted by You on the Website.

Relationship with Service Providers. BidProConnect is providing the Website only for purposes of connecting Service Providers and Consumers. BidProConnect may, in its sole discretion, contact a Service Provider to determine whether the Service Provider wishes to submit a Quote for a Service Request. If the Service Provider wishes to submit a Quote but is unable to do so, the Service Provider may provide BidProConnect with the information necessary to submit the Quote and BidProConnect will, and the Service Provider authorizes BidProConnect to, log into the Service Provider's account to submit the Quote on behalf of the Service Provider. The Service Provider waives all claims or causes of actions of any kind against BidProConnect that the Service Provider may have arising from or relating to BidProConnect's submission of, or failure to submit, Quotes on behalf of the Service Provider in accordance with this section. YOU ACKNOWLEDGE AND AGREE THAT BIDPROCONNECT HAS NO LIABILITY FOR THE ACTION, OR INACTION, OF ANY SERVICE PROVIDER AND THAT EXCEPT FOR THE LIMITED AUTHORIZATION PROVIDED ABOVE, THERE IS NO (A) EMPLOYMENT, (B) PART-TIME EMPLOYMENT, (C) CONSULTING, (D) CONTRACTOR, (E) JOINT VENTURE, OR (F) AGENCY RELATIONSHIP BETWEEN BIDPROCONNECT AND SERVICE PROVIDERS.

Interactions and Transactions with Other Users.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT BIDPROCONNECT DOES NOT IN ANY WAY SCREEN ITS USERS, NOR DOES BIDPROCONNECT INQUIRE INTO THE BACKGROUNDS OF ITS USERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS USERS. BIDPROCONNECT MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ANY CONSUMER OR ITS ABILITY TO PAY A SERVICE PROFESSIONALS OR ANY SERVICE PROVIDER'S ABILITY TO PROVIDE A SERVICE COMPLIANT WITH THE CONSUMER'S SERVICE REQUEST.

YOUR RIGHTS UNDER CONTRACTS YOU ENTER INTO WITH SERVICE PROFESSIONALS ARE GOVERNED BY THE TERMS OF SUCH CONTRACTS AND BY APPLICABLE FEDERAL, STATE, PROVINCIAL AND LOCAL LAWS. SHOULD YOU HAVE A DISPUTE WITH ANY SERVICE PROFESSIONALS, YOU MUST ADDRESS SUCH DISPUTE WITH THE SERVICE PROFESSIONAL DIRECTLY.

Modifications to Website.

BidProConnect reserves the right at any time to modify or discontinue, temporarily or permanently, the Website (or any part thereof) with or without notice. You agree that BidProConnect shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website.

Blocking of IP Addresses.

In order to protect the integrity of the Website, BidProConnect reserves the right at any time in its sole discretion to block Users from certain IP addresses from accessing the Website.
